Ms. Payal Agarwal is a Chartered Accountant with more than 20 years of post-qualification experience in auditing, financial management, and corporate governance. Over the course of her career, she has handled statutory and concurrent audits for leading organizations, including large public sector enterprises, educational missions, and nationalized banks. Her portfolio includes audits of Mahanadi Coalfields Limited, Odisha Adarsha Vidyalaya, Local Fund Audit, Odisha Madhyamika Sikshya Mission, as well as statutory and concurrent audits for Indian Overseas Bank and Union Bank of India. In addition to being DISA qualified, she holds a Certificate Course in Concurrent Audit of Banks and is registered as an Insolvency Professional. With her extensive experience and strong command over auditing practices, regulatory compliance, and financial systems, Ms. Agarwal contributes meaningfully to governance and risk management frameworks across sectors. She is also qualified for board positions as an Independent Director, bringing expertise in finance, auditing, and oversight to organizational leadership. She is currently serving as an Independent Director in listed companies ARSS Infrastructure Projects Limited and Salubrity Biotech Limited, further strengthening her contribution to corporate governance and board-level oversight.

She is also empanelled as Peer Reviewer (ICAI) and in Financial Review Reporting Board (ICAI). She is also registered with ICAI as Peer Reviewer and FRRB Board, ICAI. CS Manisha Rawat is a fellow member of Institute of Company Secretaries of India and Bachelor of Law & Bachelor of Commerce from Delhi University. She is also a registered Insolvency Professional under IBC 2016. After serving the corporate sector for around 12 years as whole time CS, she started her own practice in year 2015. She has overall experience of Twenty Two years in Company Law, SEBI, FEMA, Corporate structuring, NCLT matters and other corporate law Compliances and at present is associated with Felix Advisory Corporate as compliance partner. She has the privilege of being actively associated with many Corporate Houses as advisor, rendering professional services in the areas of Corporate Law Compliances. To name few, she has closely worked with corporates like Ansal Buildwell Ltd., IREO Private Limited, JV companies of Ascendas (Singapore based company) in India, Hindustan Power, Sterlite Power, Shalimar Paints Limited, Nandos... and the list goes on. SEEMA DANGI is a qualified Chartered Accountant with experience in corporate compliance, governance processes, and statutory certifications. The firm has experience in acting as an independent scrutinizer for electronic voting (e-voting) and remote voting processes conducted by companies and organizations. We have successfully moderated and supervised several voting and election processes in the past, ensuring transparency, accuracy, and compliance with applicable regulatory frameworks. Our role as scrutinizer involves maintaining independence, confidentiality, and integrity of the voting process, while ensuring that the results are compiled and reported accurately. We are well-versed with the procedures relating to remote e-voting, electronic ballot processes, and scrutiny of voting results, and we coordinate with e-voting service providers and companies to ensure smooth conduct of voting activities.

Practiced as an Advocate at Bengaluru from 2006 to 2008. Worked as a full time Company Secretary of a Japanese MNC from 2010 to 2011.
